Parties and Status
This Agreement is between FreshDrop Technologies Ltd. and the cleaner, cleaning business, or vendor approved to provide services through the FreshDrop marketplace.
The Cleaner is an independent contractor or independent business and is not an employee, partner, agent, or legal representative of FreshDrop unless a separate written agreement states otherwise.
Verification and Standards
The Cleaner must provide truthful onboarding information, maintain required licenses or registrations where applicable, keep service areas accurate, and notify FreshDrop of material business changes.
The Cleaner must provide services with reasonable skill, care, hygiene, timeliness, and professionalism, and must follow FreshDrop's handoff, status update, customer communication, and dispute rules.
Customer Data and Confidentiality
The Cleaner may use customer data only to perform the accepted FreshDrop order. The Cleaner must not copy, sell, contact, market to, or retain customer data outside the order purpose without authorization.
The Cleaner must protect order details, addresses, phone numbers, messages, and any sensitive personal data from unauthorized access or disclosure.
Fees, Payouts, and Adjustments
FreshDrop may deduct commissions, payment costs, refunds, penalties, chargebacks, tax withholdings, and dispute adjustments before payout. Payouts may be delayed during verification, active disputes, fraud review, or legal review.
The Cleaner is responsible for taxes, business costs, employee or subcontractor costs, equipment, insurance, and compliance with applicable law.
Liability for Items and Service Quality
The Cleaner is responsible for items in its custody and for service quality once the order is accepted and received. The Cleaner must immediately report damage, loss, delay, mixed items, customer conflict, or unsafe conditions.
FreshDrop may offset payouts or require contribution to refunds where evidence shows cleaner fault, negligence, unauthorized substitution, or policy breach.
Suspension and Termination
FreshDrop may suspend or terminate access for unsafe conduct, false documents, repeated complaints, fraud, off-platform fee avoidance, privacy breach, IP infringement, nonperformance, or any risk to customers or the platform.
